Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ThreadTrak browser extension, website (threadtrak.com), and related services (collectively, the "Service") provided by MatrixTrak ("we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

1. License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to download, install, and use the ThreadTrak browser extension for your personal or professional use.

Founder Edition: If you purchase the "Founder Edition" or "Lifetime Access" license, you are granted a perpetual license to use the version of the software available at the time of purchase, including future updates as specified in the product description. This license is tied to the email address used at checkout.

2. Purchases, Billing, and Refunds

• Store purchases are processed by Stripe or PayPal using secure hosted payment flows.
• Prices, discounts, and totals are validated server-side at checkout; client-submitted totals are not authoritative.
• Refund requests are reviewed under our policy window, and any approved refund may revoke associated digital entitlements, including prompt access, bundle access, and extension licenses.
• Digital fulfillment (license keys, access grants) is delivered after successful payment confirmation.
• Digital products are non-returnable once delivered, accessed, downloaded, or activated, except where required by applicable law or explicitly approved by support.
• Subscription cancellations stop future billing; already-used billing periods are non-refundable unless we approve an exception.
• If a payment dispute/chargeback is opened or resolved against the purchase, we may suspend or revoke related digital access and licenses until the matter is resolved.
• For abuse prevention and dispute handling, we may retain order and fulfillment evidence (for example, access events, activation events, and delivery confirmations) consistent with our Privacy Policy and applicable law.

3. Restrictions

You agree not to, and you will not permit others to:

• License, sell, rent, lease, assign, distribute, transmit, host, outsource, disclose, or otherwise commercially exploit the Service or make the Service available to any third party.
• Modify, make derivative works of, disassemble, decrypt, reverse compile, or reverse engineer any part of the Service.
• Remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) of MatrixTrak or its affiliates, partners, suppliers, or the licensors of the Service.
• Use the Service for any purpose that is illegal or prohibited by these Terms.

4. Intellectual Property

The Service, including without limitation all copyrights, patents, trademarks, trade secrets, and other intellectual property rights are, and shall remain, the sole and exclusive property of MatrixTrak.

5. Third-Party Services

The Service interacts with third-party platforms, specifically X (formerly Twitter). You acknowledge and agree that:

• We are not affiliated with, endorsed by, or sponsored by X Corp.
• Your use of X is governed by X's own Terms of Service and Privacy Policy.
• We are not responsible for any changes to X's platform that may affect the functionality of the Service.

6. Disclaimer of Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, MATRIXTRAK, ON ITS OWN BEHALF AND ON BEHALF OF ITS AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SERVICE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MATRIXTRAK OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, FOR LOSS OF DATA OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SERVICE, THIRD-PARTY SOFTWARE AND/OR THIRD-PARTY HARDWARE USED WITH THE SERVICE, OR OTHERWISE IN CONNECTION WITH ANY PROVISION OF THIS TERMS), EVEN IF MATRIXTRAK OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THE REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which MatrixTrak is established, without regard to its conflict of law provisions.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
